Terms and Conditions for Designers

Company: YOUR PRINT ONLINE PRONTER OPC (“the Company,” “we,” “our,” “us”)

These Terms and Conditions govern the participation of designers (“Designer,” “you,” “your”) in our platform for submitting design files to be used on products such as T-shirts and other printed merchandise. By submitting designs, you agree to the following terms:

1. Submission of Designs

1.1 Designers must upload original design files through the designated submission form provided by the Company.
1.2 Only design files are required. The Company will manage product listing, description, and registration.
1.3 By submitting a design, you confirm that you are the rightful owner or have the legal right to license the design to the Company.

2. Rights and Usage

2.1 The Designer grants the Company a non-exclusive, worldwide, royalty-bearing license to use, reproduce, display, and sell products featuring the submitted design.
2.2 The Company retains the right to decide product formats, marketing strategies, and sales channels.
2.3 The Designer may continue to use and sell their design outside the platform, as this agreement is non-exclusive.

3. Royalty Payments

3.1 Designers will receive 20% of the net sales price (excluding VAT, shipping, and transaction fees) for each completed sale of a product featuring their design.
3.2 Royalties are only due once a transaction with a buyer is successfully completed (including payment confirmation and no cancellation/refund).
3.3 Payments will be made on a monthly basis via [PayPal / Bank Transfer / Other Method], subject to reaching the minimum payout threshold of [Insert Amount].
3.4 The Company reserves the right to withhold or deduct payments in cases of fraudulent transactions, chargebacks, or breach of these Terms.

4. Intellectual Property

4.1 The Designer retains full ownership of their design.
4.2 The Company will not claim ownership but may display the design for promotional, marketing, and sales purposes as long as this agreement is active.
4.3 The Designer warrants that the submitted design does not infringe on third-party rights, including copyright, trademark, or other intellectual property rights.

5. Prohibited Content

Designs must not include or promote:

  • Offensive, defamatory, or discriminatory content

  • Hate speech, violence, or illegal activity

  • Copyrighted or trademarked material without permission

6. Termination

6.1 The Designer may request removal of their design from the platform with written notice.
6.2 The Company may remove designs at its sole discretion if they violate these Terms or harm the Company’s reputation.
6.3 Termination does not affect royalty payments already earned for completed sales.

7. Limitation of Liability

The Company will not be liable for any indirect, incidental, or consequential damages arising from participation in the platform.

8. Governing Law

These Terms and Conditions are governed by the laws of  Republic of the Philippines.

9. Acceptance

By submitting your design, you confirm that you have read, understood, and agreed to these Terms and Conditions.
